Terms & Conditions

1. Sponsorship Fee
In consideration for the benefits provided under this Agreement, the Sponsor agrees to pay the Organizer a sponsorship fee of $[Amount]. This fee is due and payable within [Number] days of the execution of this Agreement.

2. Term
This Agreement shall commence on the date first written above and shall continue until the completion of the Event, unless terminated earlier in accordance with the provisions herein.

3. Termination
Either party may terminate this Agreement upon giving 10 days' written notice to the other party. In the event of termination by the Sponsor, no refund of the sponsorship fee will be made. In the event of termination by the Organizer, the Organizer will refund the sponsorship fee to the Sponsor, except if the termination is due to a breach of this Agreement by the Sponsor.

4. Sponsor's Obligations
The Sponsor agrees to provide the Organizer with all necessary logos, promotional materials, and any other information required for the fulfillment of the sponsorship benefits described herein, within [Number] days of the execution of this Agreement.

5. Indemnity
The Sponsor agrees to indemnify and hold harmless the Organizer, its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, damages, liabilities, costs, and expenses arising out of or in connection with the Sponsor’s participation in the Event.

6. Miscellaneous
- Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and communications, whether written or oral, between the parties.
- Amendments: This Agreement may be amended only by a written instrument executed by both parties.
- Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.
- Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
